FK Secures $24.5 Million Judgment for Minority Partner in Cannabis Company Dispute

FK successfully represented a minority partner in Ilera Healthcare, a vertically integrated cannabis cultivator, processor, and retailer. The defendants, who were also members of Ilera’s Board of Directors, diverted valuable corporate opportunities to a shell company and misled FK’s client into giving up two-thirds of their interest in Ilera in exchange for a minority stake in the shell entity that had received assets belonging to Ilera. This resulted in tens of millions of dollars in damages to FK’s client.
Over several years, FK defeated multiple motions to dismiss, deposed key witnesses, and brought the case to trial. After a four-day bench trial, the Court ruled in favor of FK’s client on all claims, including fraud, breach of fiduciary duty, unjust enrichment, and conspiracy.
