FK represents the Minority Managing Member of a New York-based cannabis cultivation and processing joint venture in a dispute involving serious allegations of mismanagement. The Majority Managing Member has depleted company assets, jeopardized its solvency and cannabis licenses, excluding the Minority Managing Member from key decisions, and withholding critical financial information.
The Minority Managing Member filed claims for breach of fiduciary duty, breach of contract, and sought judicial dissolution of the joint venture. The action includes a demand for $15 million in damages and related equitable relief.
